Terms of Use
Effective · Version 1.0
These Terms of Use (the "Terms") are an agreement between FlashTeams, Inc. ("FlashTeams", "we", "us") and the organization that signs up for or uses FlashTeams (the "Customer", "you"). They cover the FlashTeams workspace and its company sign-in pages, FlashBrain, Flash Swarm and our other agents, the FlashTeams MCP server, our IDE and desktop tools, and related software, APIs and support (together, the "Service").
By creating a workspace, signing in, or otherwise using the Service, you accept these Terms. If you accept them for an organization, you confirm that you have authority to bind it. If you and FlashTeams have signed an order form or other written agreement for the Service (an "Order Form"), the Order Form controls where it conflicts with these Terms.
1. Key terms
- Authorized User: an employee, contractor or agent of the Customer whom the Customer, or one of its workspace administrators, allows to use the Service.
- Customer Content: everything the Customer or its Authorized Users put into or connect to the Service, including source code and repository data ("Customer Code"), projects, tasks, documents, messages, meeting notes and time records.
- Output: what the Service generates for the Customer from Customer Content or prompts, such as answers, plans, estimates, code, pull requests and reports.
- Agents: features that carry out multi-step work for the Customer with limited autonomy, such as Flash Swarm, automations and FlashBrain actions.
- Connected Services: third-party products the Customer links to the Service, such as GitHub, Sentry or a meeting notes tool.
- Flash Credits: prepaid units that measure use of AI features and Agents.
- Documentation: the product guides and help material we make available for the Service.
2. Using FlashTeams
Subject to these Terms and payment of the applicable fees, we grant the Customer a non-exclusive, non-transferable right, during its subscription term, to let its Authorized Users use the Service for the Customer's internal business purposes. Software we provide for installation, such as the MCP server, IDE extensions or desktop tools, is licensed on the same basis and only for use with the Service.
The Customer controls who can reach its workspace. Workspace administrators can invite and remove members, assign roles and departments, and change settings. The Customer is responsible for those choices, including removing access when someone leaves.
Each Authorized User needs their own account, and sign-in details may not be shared. The Customer is responsible for activity under its accounts and must tell us promptly at support@flashteams.ai if it suspects unauthorized access. Authorized Users must be at least 18 years old.
We improve the Service continuously and may add, change or remove features. We will not make a change that materially reduces the core functionality of a paid subscription during its current term.
Trials, previews and features labeled beta or experimental are offered for evaluation. They may change or end at any time, may be less reliable than the rest of the Service, and are provided as is.
3. Your content and code
As between the parties, the Customer owns its Customer Content and the Output generated for it. We do not claim ownership of either.
The Customer grants us a limited, worldwide right to host, copy, process, transmit and display Customer Content and Output only as needed to provide, secure and support the Service for the Customer, including sending relevant portions to the AI model providers described in Section 4.
When the Customer connects a repository, we read the code, history and related data that the connection allows and build an index of it (for example, a map of files, functions and dependencies) so the Service can answer questions, plan work and estimate effort. We access only what the Customer authorizes, and the Customer can disconnect a repository at any time.
We do not use Customer Content or Output to train AI models, and we do not allow our AI model providers to do so.
We may collect information about how the Service performs and is used, such as feature usage, error rates and Flash Credit consumption, and use it in aggregated or de-identified form to operate and improve the Service. This information does not include Customer Content and does not identify the Customer or any individual.
The Customer is responsible for having the rights and permissions needed to put Customer Content into the Service, including any personal data and third-party code it contains.
4. AI features and agents
FlashTeams uses machine learning models, some provided by third parties, to generate Output. We choose providers that commit to protecting the data we send them and to not using it to train their models, and we send them only what a feature needs.
AI Output can be wrong, incomplete or insecure, and may resemble output produced for others. Estimates, plans and staffing suggestions are forecasts, not promises. The Customer is responsible for reviewing Output before relying on it and for decisions it makes based on Output.
Agents act on the Customer's instructions and only with the permissions the Customer grants, for example to create branches, push commits, open pull requests, comment on issues or update tasks. The Customer chooses which repositories Agents can reach and can mark paths they must never change. The Customer is responsible for reviewing changes before they are released or deployed, and for any changes it allows Agents to merge.
Security and dependency findings, such as those in Product Center, come from public advisories and automated analysis. They help prioritize work but do not guarantee that every vulnerability has been found.
The Customer must not use AI features to create content that is unlawful, deceptive or harmful.
5. Connected services
The Customer may connect third-party services to the Service. By doing so, it authorizes us to exchange data with those services on its behalf as needed to provide the Service. Each Connected Service is governed by its own terms, which are between the Customer and that provider.
We are not responsible for Connected Services, and features that depend on them may stop working if a provider changes or withdraws access.
6. Acceptable use
The Customer and its Authorized Users must not, and must not help anyone else to:
- copy, modify, resell, sublicense or provide the Service to third parties, except as these Terms allow;
- reverse engineer, decompile or try to extract the source code, models or prompts behind the Service, except where the law permits this despite this restriction;
- use the Service or Output to build or train a competing product, or publish benchmarks of the Service without our written permission;
- access or probe the Service, or other customers' data, without authorization, or get around security measures, rate limits, usage metering or credit controls;
- create multiple accounts or workspaces to avoid fees, limits or trial restrictions;
- upload malware, or use the Service (including Agents) to attack, disrupt or gain unauthorized access to any system;
- use the Service to infringe or misappropriate the rights of others, or to process data the Customer has no right to process;
- use the Service for unlawful, deceptive, harassing or harmful activity, or in breach of export control or sanctions laws.
We may suspend access that we reasonably believe breaks this section or creates a security risk, and will give notice where practical.
7. Fees, plans and Flash Credits
Fees, plans and Flash Credit amounts are shown at checkout or in the Order Form. Unless the Order Form says otherwise, subscription fees are billed in advance, card payments are processed by Stripe, and invoices are due within 30 days of the invoice date.
Fees do not include taxes. The Customer is responsible for sales, use, value added and similar taxes on its purchases, other than taxes on our income.
Flash Credits are used up as AI features and Agents run, at the rates shown in the Service. Workspace administrators can allocate credits to departments or people and see how they are used. When credits run out, AI features and Agents may pause until more are added. Flash Credits have no cash value, cannot be transferred outside the workspace, and expire as stated at checkout or in the Order Form.
Except where these Terms or the law say otherwise, fees are non-refundable.
If an undisputed amount is more than 30 days overdue, we may suspend the Service after giving the Customer at least 10 days' written notice.
We may change prices for future subscription terms by giving at least 30 days' notice before the renewal.
8. Confidentiality
"Confidential Information" means non-public information that one party (the discloser) shares with the other (the recipient) that is marked confidential or that a reasonable person would understand to be confidential. Customer Content is the Customer's Confidential Information.
The recipient will use the discloser's Confidential Information only to perform under these Terms, will protect it with at least reasonable care, and will share it only with employees, contractors and service providers who need it and are bound by duties at least as protective.
These duties do not apply to information that is or becomes public through no fault of the recipient, that the recipient already knew or developed independently, or that it lawfully received from someone else without a duty of confidence. The recipient may disclose Confidential Information when the law requires it, after giving the discloser prompt notice where legally allowed.
Because a breach of this section could cause harm that money cannot fix, the discloser may seek an injunction in addition to any other remedy.
9. Security and privacy
We maintain administrative, technical and physical safeguards designed to protect Customer Content, including encryption in transit, role-based access controls and audit logging.
If we become aware of unauthorized access to Customer Content in our systems, we will notify the Customer without undue delay and share the information it reasonably needs to respond.
Our Privacy Notice explains how we handle personal information. For personal data in Customer Content, we act as the Customer's processor or service provider, and where data protection law requires it we will sign a data processing agreement with the Customer.
10. Our property and feedback
We and our licensors own the Service, including its software, the models and indexes we build, its designs, and the FlashTeams name and logos. These Terms give the Customer no rights in them other than the right to use the Service as described here.
If the Customer or its Authorized Users send us suggestions or feedback, we may use them freely and without obligation.
11. Term, suspension and termination
These Terms apply from the Customer's first use of the Service until all of its subscriptions end. Monthly subscriptions can be cancelled at any time and end at the close of the current billing period. Longer subscriptions run for the term shown at checkout or in the Order Form and renew for the same length unless either party gives notice of non-renewal at least 30 days before the term ends.
Either party may terminate these Terms, or an Order Form, if the other party materially breaches them and does not cure the breach within 30 days of written notice, or if the other party becomes insolvent or enters bankruptcy or a similar proceeding. If the Customer terminates for our uncured material breach, we will refund prepaid fees for the rest of the term.
We may suspend access immediately when needed to stop a security threat, serious harm to the Service or others, or a violation of law, and will restore access once the problem is resolved.
When a subscription ends, access to the Service ends. For 30 days afterwards the Customer may ask us to make its Customer Content available for export. After that we delete Customer Content from our active systems within a reasonable period, except where the law requires us to keep it. Copies in backups are deleted as those backups expire.
Sections that by their nature should continue survive the end of these Terms, including those on content ownership, confidentiality, fees owed, disclaimers, indemnities, limits of liability and the general terms.
12. Warranties and disclaimers
We warrant that the paid Service will perform materially as described in the Documentation and that we will not knowingly introduce malicious code into it. If it does not, the Customer should tell us and we will make reasonable efforts to fix the problem. If we cannot fix it within a reasonable time, the Customer may end the affected subscription and receive a refund of prepaid fees for the rest of the term. This is the Customer's only remedy for a breach of this warranty.
Except as stated in this section, and to the fullest extent the law allows, the Service, Output, trials and previews are provided "as is". We disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that Output will be accurate.
13. Indemnification
We will defend the Customer against any third-party claim that the Service, as we provide it and used under these Terms, infringes that party's intellectual property rights, and will pay the damages and costs finally awarded or agreed in a settlement we approve. This does not cover claims arising from Customer Content, Output, Connected Services, combinations with things we did not provide, or changes we did not make. If the Service is, or may become, the subject of such a claim, we may obtain the right for the Customer to keep using it, change it so it no longer infringes, or end the affected subscription and refund prepaid fees for the rest of the term.
The Customer will defend us against any third-party claim arising from Customer Content, the Customer's use of Output, or a breach of Section 6, and will pay the damages and costs finally awarded or agreed in a settlement it approves.
The party seeking a defense must notify the other promptly, let it control the defense and any settlement, and give reasonable help at the defending party's expense. No settlement may impose an obligation on the defended party without its consent.
14. Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if it was told they were possible.
Each party's total liability arising out of or relating to these Terms is limited to the fees the Customer paid or owes for the Service in the 12 months before the event that gave rise to the claim. For trials and free use, our total liability is limited to US$100.
These limits do not apply to the Customer's payment obligations, a party's indemnity obligations, breaches of Section 6 (Acceptable use) or Section 8 (Confidentiality), or liability that the law does not allow to be limited, including liability for gross negligence or willful misconduct.
15. General terms
Governing law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware, except that either party may seek an injunction in any court with jurisdiction.
Changes to these Terms. We may update these Terms. We will post each new version here with its effective date and, for material changes, tell workspace administrators in advance. For a paid subscription, material changes apply from the next renewal unless the Customer agrees sooner or the law requires the change.
Notices. We send notices to the email address of the workspace owner or an administrator. The Customer sends legal notices to support@flashteams.ai.
Publicity. We will name the Customer as a FlashTeams customer, or use its logo, only with its permission.
Assignment. Neither party may assign these Terms without the other's consent, except to a successor in a merger, acquisition or sale of all or substantially all of the business or assets these Terms relate to, with notice to the other party.
Events beyond control. Neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, war, labor disputes, or failures of the internet or third-party infrastructure. This does not excuse payment obligations.
Export and sanctions. Each party will comply with applicable export control and sanctions laws. The Customer will not let anyone use the Service from an embargoed country, or let anyone on a restricted party list use it.
Independent parties. The parties are independent contractors. These Terms create no partnership, agency or employment relationship, and no third party has rights under them.
Entire agreement. These Terms, any Order Form and the documents they refer to are the whole agreement between the parties about the Service and replace earlier agreements on the subject. Terms in a Customer purchase order do not apply. If a provision is unenforceable, the rest remains in effect, and not enforcing a provision is not a waiver of it.
